On July 13, 2022, the SEC approved by a three-to-two vote a final rule rescinding portions of two 2020 rules related to proxy advice: exemption conditions from the proxy rules’ informational and filing requirements, and proxy rules’ liability provisions. The 2020 rules codified the SEC’s interpretation that proxy advice constitutes solicitation subject to proxy rules and added new conflicts of interest disclosures.
